Welcome to choose the AI Wukong Robot provided by UBTECH! The AI Wukong Robot referred to in this document includes the AI Wukong Robot terminal and its supporting AI Wukong Robot APP. The "AI Wukong Robot Terms of Use" is an agreement concluded between you (or "User", referring to an individual or organization using the AI Wukong Robot product and service) and UBTECH Robotics Corp Ltd (hereinafter referred to as "UBTECH" or "we") regarding the use of the AI Wukong Robot product and service.

Before you click to agree to this Agreement, please be sure to carefully read and fully understand all the contents of this Agreement, especially the clauses that exempt or limit liability, which will be highlighted in bold font to draw your attention.
The generative artificial intelligence service of this product is not targeted at juvenile or child users. If you are a juvenile or child, please be sure to notify your guardian to read and understand this Agreement together, "AI Wukong Robot Privacy Policy", and seek your guardian's prescribed consent and guardianship guidance before using our products and services.
This agreement applies to users of this product and service in Hong Kong, China. If you are a user in Chinese mainland, please read the Simplified Chinese version of the Terms of Use.
If you voluntarily choose to consent to this Agreement or start using the AI Wukong Robot products and services, it shall be deemed that you have fully and completely read and understood all the contents of this Agreement, and voluntarily accept all the contents of this Agreement. If you do not agree to any of the terms of this Agreement, you shall immediately stop using the AI Wukong Robot products and services.
To use the AI Wukong Robot products and services, you shall carefully read and comply with the User Service Agreement (hereinafter referred to as "this Agreement").
1. Acquisition, Installation, Uninstallation, and Update of Software
You can obtain this software directly from official channels such as the UBTECH official website or official WeChat public account, or from third parties authorized by UBTECH. If you obtain this software or an installation program with the same name as this software from a third party not authorized by UBTECH, UBTECH cannot guarantee the normal use of the software and will not be responsible for any losses caused to you as a result.
We may have developed different software versions for different end devices. You should choose to download and install the appropriate version according to the actual situation. If you no longer need to continue using this software, you may choose to uninstall it yourself.
To improve service content and enhance user experience, we will provide updates or changes to the AI Wukong Robot software and related services (including but not limited to function enhancements, version upgrades, etc.) on an irregular basis. After the release of the new version of the software, some functions of the old version of the software and related services may be restricted or unable to function properly. We kindly ask you to pay attention and download the latest version in a timely manner.
2. Product and Service Content
This Service refers to the AI Wukong Robot and its software (hereinafter referred to as "This Service") provided by UBTECH to users, which offers users basic call and personalized companionship functions.
Ubtech only grants you a personal, revocable, non-transferable, non-exclusive, and non-commercial right to legally use the Software and related services in accordance with the terms of this Agreement.All other rights not expressly authorized by this Agreement shall remain reserved by Ubtech. Without Ubtech's express written permission, you shall not exercise any other unauthorized rights. Ubtech's failure to exercise any of the foregoing rights shall not constitute a waiver of such rights.
To provide you with effective services and fully realize the functions of the AI Wukong Robot, you may need to connect your terminal device to the Internet. You understand and agree that you should independently inquire with the operator about relevant tariff information and bear the necessary costs (such as data charges, etc.) on your own.
You understand and undertake that all actions taken while using the AI Wukong Robot Service shall comply with laws and regulations, our relevant regulations or rules, social public morality, and safeguard public interests, and shall not publish or disseminate information that violates laws and regulations, public interests, or may damage the legitimate interests of us and any other third parties.
The intelligent conversation function of the AI Wukong Robot is implemented by connecting to Alibaba's Qwen large language model. We will collect your conversation information and evaluation information during the usage process to enable multi-round artificial intelligence-generated content conversations with context association. During your use of our services, you can provide feedback to us through the contact information provided in this policy. Regarding the large model, you can learn about it by reading their Privacy Policy and Terms of Use.
3.Account Registration, Use, and Cancellation
You voluntarily register for and use the AI Wukong Robot. When registering or using the AI Wukong Robot, you may need to provide some necessary information. After you complete the registration process, you will obtain an AI Wukong Robot account, which you can use to log in to the AI Wukong Robot and access the relevant services we provide.
You understand and agree that such account information is true, valid, and complies with relevant laws, regulations, and public order and good customs requirements. This account is for your personal use only, and it is prohibited to borrow, rent, transfer, sell, or otherwise authorize others to use this account in any form.
You are obliged to maintain the security and confidentiality of your personal account information, properly safeguard your account and password, refrain from disclosing account information to others, and assume full legal liability for all activities conducted under the name of this account, including but not limited to any liability that may arise from data modification, work creation, speech publication, etc. If you fail to properly maintain and safeguard your account and password, resulting in damage to us or any other third party, you shall bear full responsibility.
If you decide to no longer use the AI Wukong Robot software and related services, you can apply to cancel your personal account by going to Settings - General - Cancel Account. You fully understand and acknowledge that this cancellation action is irreversible, and once cancelled, we will no longer be able to provide services to you.
4. User Conduct Guidelines
(1) Delete the copyright information on this software and its copies;
(2) Using, leasing, lending, copying, modifying, linking, reposting, compiling, publishing, establishing mirroring sites, etc., of content for which we own intellectual property rights;
(3) Conduct activities that endanger network security, such as interfering with this software, its components, modules, and data on one's own or by authorizing others or third-party software, transmitting software viruses, and other illegal intrusions into the network or interference with the normal functions of the network;
(4) Modifying or forging instructions or data during software operation, adding, deleting, or changing the functions or operational effects of software, or operating or disseminating to the public software or methods used for the above purposes;
(5) Other acts that are not expressly authorized by us, violate laws and regulations, this Agreement, and infringe upon the legitimate rights and interests of others.
(1) Violating the fundamental system of the state or the basic principles established by the Constitution;
(2) Endangering national security, disclosing state secrets, subverting state power, or undermining national unity;
(3) Acts that damage national honor and interests;
(4) Inciting ethnic hatred or ethnic discrimination, or undermining ethnic unity;
(5) Those who undermine the state's religious policies, promote cults and feudal superstitions;
(6) Spreading rumors, disturbing social order, and undermining social stability;
(7) Disseminating pornographic, , gambling, violent, terrorist content, or inciting crime;
(8) Insulting or slandering others and infringing upon their legitimate rights and interests;
(9) Inciting illegal assemblies, associations, marches, demonstrations, or gathering crowds to disrupt social order;
(10) engaging in activities in the name of an illegal non-governmental organization;
(11) Infringing upon others' legitimate rights such as right of reputation, right of portrait, intellectual property rights, trade secrets, etc.;
(12) Involving others' privacy, personal data, or materials;
(13) Excessive marketing information, junk information, or information containing any sexual or sexually suggestive content;
(14)Other content that violates laws, regulations, policies, public order and good customs, social ethics, or interferes with the normal operation of AI Wukong Robot, or infringes upon the legitimate rights and interests of other users or third parties.
You fully understand and agree that you must be responsible for all your actions in using the AI Wukong Robot, including but not limited to any content, comments, etc. that you create, publish, share, or disseminate, as well as any consequences arising therefrom. You shall independently judge the above actions and bear all risks arising therefrom, including risks arising from reliance on the correctness, completeness, or usefulness of your actions or content. We cannot and will not be liable for any losses or damages resulting from the aforementioned risks.
If we find that you use this service to engage in the above-mentioned activities, we reserve the right to take corresponding measures against you as appropriate, including but not limited to issuing prior warnings, restricting your service usage privileges, deleting non-compliant content, banning or canceling, and reclaiming your account. We will also retain relevant records of the foregoing matters in accordance with the law and report to the relevant competent authorities in accordance with the law.
5. Our Rights and Obligations
You understand and agree that if you violate the provisions of relevant laws and regulations, the terms of this Agreement, or relevant rules, statements, etc., we have the right to independently judge and handle the situation, and take one or more handling measures including but not limited to deleting relevant information, immediately suspending or terminating relevant services, freezing or canceling accounts, reporting to relevant regulatory authorities or state agencies, etc. If any losses are caused to us or any other third party as a result, you shall also bear the liability for compensation.
You understand and agree that we are unable and have no obligation to conduct prior review of your registration, use of this software and related services. However, we reserve the right to, based on different circumstances, in accordance with relevant laws, regulations, and/or the provisions of this Agreement, choose to retain or delete relevant information, choose to continue or terminate services to you, and reserve the right to pursue legal liability against you.
You understand and agree that if the business of AI Wukong Robot is adjusted or changed, we reserve the right to delegate or transfer the rights or obligations under this Agreement to a third party for exercise or performance, but your rights and interests under this Agreement will not be affected, and we will also notify you of the aforementioned adjustment or change. If you continue to use this product, it will be deemed that you agree to such adjustment and change.
6.Disclaimer
(1) Unforeseeable, unavoidable, and insurmountable circumstances such as natural disasters, wars, catastrophes, strikes, government actions, hacker attacks, computer virus intrusions, telecommunications department communication disruptions, network coverage limitations, etc.;
(2) We perform regular or irregular upgrades, inspections, or maintenance necessary for the normal operation of this software;
(3) In the case where we have exercised good faith management based on the existing technical conditions, failures of hardware/software support such as software, equipment, systems, or servers, as well as data security incidents (including but not limited to risks such as data loss, leakage, storage failure, etc. that may be caused by irresistible factors);
(4) Any problems or damages caused by the software not being compatible with the model of the terminal device you have chosen to install it on;
(5) Other circumstances where laws, regulations, public authorities, or institutions determine that we are not liable.
The intelligent conversation function is provided by the large model. Due to the technical characteristics, despite reasonable efforts, the large model and we cannot fully guarantee the legality, authenticity, accuracy, and completeness of the output you obtain through this service. You should independently judge the output from this service and assume all risks arising from the use of the content. We remind you that, except as explicitly provided by law, we cannot and will not assume liability for any losses or damages resulting from the aforementioned risks.
The answers to intelligent conversations are provided by large models. The outputs under this service do not represent professional opinions and cannot replace the answers provided by professionals in fields such as law, medicine, and finance to address your corresponding questions. The relevant viewpoints are also limited to the results presented by the limited data accessed by the algorithm for your reference and do not represent our stance. Due to the characteristics of Machine Learning, different output results may be generated for the same input, so please pay attention to distinguishing. Any judgment you make based on the output content or subsequent related operational actions taken accordingly, as well as the consequences and responsibilities arising therefrom, shall be borne by you. Please understand and use this service scientifically, rationally, and in accordance with the law.
You acknowledge and agree that we will mark the content generated by your use of this service in accordance with legal requirements. You shall use the generated content produced by this service in compliance with relevant laws and regulations, and shall not use technical means to delete, alter, or conceal relevant marks without authorization. If a user or any other third party deletes, alters, or conceals the marks of the generated content produced by this service without authorization, resulting in any confusion or misidentification of others, we shall not assume any liability for this.
7.Intellectual Property Statement
We are the intellectual property rights holders of this software, meaning that all copyrights, trademarks, patents, trade secrets, and all information content related to this software (text, images, interface design, layout framework, relevant data, etc.) are solely owned by UBTECH, and all of the above rights are protected by laws and regulations.
Without written authorization from UBTECH, you shall not, for any purpose, implement, utilize, or transfer the above intellectual property rights on your own or permit any third party to do so, and shall not conduct any unauthorized access or use of this software and related services in any form, including but not limited to adaptation, reproduction, reverse engineering, reverse compilation, and obtaining or cracking the source code of this software in other ways. If you infringe upon the above rights or interests of the AI Wukong Robot, you shall be liable for damages.
You understand and agree that all content (including but not limited to text, images, videos, audio, and other forms of content or creatives, as well as all components such as sounds, music, and visuals contained therein) uploaded, created, modified, and/or published while using the AI Wukong Robot software and related services are either your original works or have obtained legal authorization. You shall not infringe upon the legitimate rights and interests of any third party (including but not limited to copyright, patent rights, trademark rights, portrait rights, personality rights, name rights, etc.). Any disputes, controversies, or damages arising therefrom shall be resolved by you and the third party on your own, and we shall not assume any liability. If such actions cause damage to us, we reserve the right to claim compensation from you.
You acknowledge, understand, and agree that you have rights (including but not limited to intellectual property rights, portrait rights, etc.) over your inputs (including all content you upload or post on your own during the use of this service) and/or outputs in accordance with legal provisions, and your use of this service will not result in the transfer or impairment of the aforementioned legitimate rights, unless otherwise agreed upon between us and you. Meanwhile, you understand and agree that UBTECH will store and use (including but not limited to copying, distributing, transmitting, publicly displaying, editing, etc.) the content you upload or post for the purpose of this service within the scope permitted by law. You only retain the right to use the content generated through our AI generation feature within a reasonable scope.
8.Protection of User Personal Data
Respecting and protecting users' Personal data is a fundamental principle for UBTECH in conducting business, and we are committed to taking reasonable and strict measures to protect your Personal data. AI Wukong Robot will collect your email address, device information, voice information, etc. For details on how AI Wukong Robot collects, uses, and stores your Personal data, you can read the "AI Wukong Robot Privacy Policy" for further detailed understanding. Please review it carefully in its entirety, especially the content specifically related to the Personal data of children (i.e., Juveniles under 14 years of age) if applicable.
Specifically, based on the characteristics of our products and the principle of minimizing Personal data protection, you understand and agree that we have the right to take appropriate Personal data protection measures. Unless otherwise agreed in a separate agreement with us, if your registered account has no login records within three years, it will be deemed that you have terminated the relevant services regarding Personal data processing with us. You understand and agree that we have the right to delete or anonymize the Personal data you provided to us based on your actions, and we shall not assume any liability for data deletion or anonymization resulting therefrom. If you need us to continuously retain your Personal data, please be sure to log in to your registered account within the above time limit.
9.Service Changes, Interruptions, or Terminations
To ensure the security of this product and service and the consistency of its functions, we need to regularly or irregularly update, upgrade, or modify the AI Wukong Robot software and its system, or change, suspend, restrict, terminate, or revoke some of the software's functional effects. If such actions result in service interruption within a reasonable period, we shall not be liable for any damages. However, we will notify you in advance as much as possible and provide you with a prompt on the corresponding page based on the situation.
For the following reasons, we reserve the right to interrupt or terminate the provision of services under this Agreement to you without notice and without incurring any liability to you or any third party:
(1) In accordance with legal provisions or the requirements of the competent/regulatory authorities;
(2) You violate relevant laws and regulations, the provisions of this Agreement, or relevant rules;
(3) For reasons of safety or other necessary circumstances.
10.Default Handling
If you violate the provisions of this Agreement or we receive reports or complaints from others, we have the right to independently assess and take appropriate measures based on the potential consequences of your relevant actions, including but not limited to suspending or terminating some or all of the services you may use, and preserving relevant information and reporting to relevant authorities in accordance with laws and regulations. You shall independently assume full responsibility.
If your actions directly or indirectly cause losses to us or other third parties (including but not limited to economic losses, loss of goodwill, fines, external payments for breach of contract or compensation, litigation fees, preservation fees, attorney fees, etc.), you shall be fully liable for the above losses.
11.Special Instructions for Third Parties
You understand and agree that we may not be able to provide certain functional services of our products independently. To provide you with complete product functionality and a good user experience, we may use third-party software or technology. If we use third-party software or technology, we will display information about the third party in this software, and you have the right to view it. If you refuse to use the third-party software or technology, please stop using this software. Any disputes or damages arising from third-party software or technology shall be resolved by the third party, and we shall not assume any liability to you or any third party in this regard.
12.Other
We reserve the right to revise the terms of this Agreement (including AI Wukong Robot Privacy Policy, as well as other statements or rules, etc.) from time to time in accordance with changes in relevant laws, regulations, and policies or the needs of business development. You can review the relevant terms of the Agreement in the latest version of this software. If you do not agree with the revised content of the Agreement, you should immediately discontinue using AI Wukong Robot; if you continue to use AI Wukong Robot, it shall be deemed that you have accepted the revised Agreement.
The formation, effectiveness, performance, interpretation, and dispute resolution of this Agreement shall all be governed by the laws of the People's Republic of China (excluding Hong Kong, Macao, and Taiwan).
The signing location of this Agreement is Nanshan District, Shenzhen City, People's Republic of China. If any dispute or controversy arises between you and UBTECH, it shall first be resolved through friendly negotiation; if negotiation fails, you agree to submit the dispute or controversy to the competent people's court at the signing location of this Agreement for resolution through litigation.
If any provision of this Agreement becomes partially invalid or unenforceable for any reason, the remaining provisions shall remain in full force and effect and shall continue to be binding on both parties.
